Why International Tax Planning Matters

Operating in more than one country can lower costs and open new markets, but it also exposes a business to two or more tax systems at once.

Without planning, the same profits can be taxed twice, a foreign company can unintentionally create a taxable presence in India, payments can suffer excess withholding, and structures can fail under anti-avoidance rules. Whether you are a foreign company investing in India or an Indian company going global, you need to understand how Indian tax law, the relevant tax treaty and the rules of the other country interact.

India's tax environment for cross-border business continues to evolve. The Income-tax Act, 2025 took effect from 1 April 2026. Tax treaties have been modified by the Multilateral Instrument. The General Anti-Avoidance Rule (GAAR), Place of Effective Management (POEM) and Significant Economic Presence rules apply, and the global minimum tax under BEPS Pillar Two affects large groups. We combine this India expertise with a trusted network of overseas accounting and legal firms, to give you one joined-up view.

Frequently Asked Questions

What is international tax planning?
International tax planning is the structuring of cross-border operations, investments and transactions so that they are tax-efficient and compliant in every country involved. It covers entity and holding structures, permanent establishment risk, withholding tax, treaty benefits, transfer pricing and repatriation of profits.
How does a tax treaty help a foreign company doing business in India?
A Double Taxation Avoidance Agreement can limit India's right to tax business profits to those attributable to a permanent establishment, reduce withholding tax on dividends, interest, royalties and technical fees, and provide relief from double taxation. Treaty benefits usually require a Tax Residency Certificate and Form 10F, and must pass anti-abuse tests such as the principal purpose test.
What is GAAR, and how does it affect cross-border structures?
The General Anti-Avoidance Rule lets Indian tax authorities deny tax benefits from arrangements whose main purpose is to obtain a tax benefit and which lack commercial substance. Cross-border structures should have genuine business purpose and substance to withstand GAAR.
Can an overseas subsidiary of an Indian company be taxed in India?
Yes, if its Place of Effective Management is in India, meaning its key management and commercial decisions are in substance made in India. It would then be treated as resident in India and taxed on its worldwide income.
Is Equalisation Levy still relevant?
Equalisation Levy has been abolished for new transactions: the 2% levy on e-commerce operators from 1 August 2024, and the 6% levy on online advertising from 1 April 2025. Earlier periods can still be subject to assessments, and digital services may still be taxable under other provisions.
Does BEPS Pillar Two affect Indian businesses?
Pillar Two applies to multinational groups with consolidated revenue of at least EUR 750 million, through minimum tax rules in implementing jurisdictions. Indian groups, and foreign groups with Indian subsidiaries, that are in scope should assess the effective tax rate of their entities and the top-up tax they may owe.
